    TERMS OF USE

    Effective Date: 2-24-2026

    These Terms of Use ("Terms") govern your access to and use of:

    • Osoosi.com (the "Website")
    • The Sova AI application ("Sova")
    • Sova-associated hardware devices
    • Osoosi APIs
    • Cloud-based AI services
    • All related products and services

    (collectively, the "Services").

    By accessing or using the Services, creating an account, or clicking "I Agree," you agree to be legally bound by these Terms.

    If you do not agree, do not use the Services.

    1. ELIGIBILITY

    You must:

    • Be at least 18 years old;
    • Have legal capacity to enter into a binding agreement; and
    • Use the Services in compliance with applicable laws and regulations.

    If you use Sova in connection with aircraft operations, you represent that you are authorized to operate the aircraft or have permission from the aircraft owner or operator.

    We may suspend or terminate access for violation of these Terms.

    2. ACCOUNTS

    Certain Services require account registration.

    You agree to:

    • Provide accurate, current information;
    • Maintain confidentiality of login credentials; and
    • Accept responsibility for all activity under your account.

    We may suspend or terminate accounts for:

    • Security concerns;
    • Non-payment;
    • Misuse of the Services; or
    • Violation of these Terms.

    3. AVIATION SAFETY DISCLAIMER AND OPERATING LIMITATIONS

    Sova is an advisory AI system.

    Sova:

    • Does NOT control aircraft;
    • Is NOT an autopilot;
    • Is NOT certified avionics unless expressly stated in writing;
    • Is NOT primary flight instrumentation.

    The pilot in command remains solely responsible for:

    • Aircraft operation;
    • Regulatory compliance;
    • Independent decision-making.

    Sova outputs may contain inaccuracies, omissions, or transcription errors. All flight-critical information must be independently verified.

    Operating Envelope and Prohibited Uses

    Sova is authorized for use only in private, non-commercial operations conducted under applicable general aviation rules (e.g., 14 C.F.R. Part 91 in the United States), unless otherwise expressly authorized in writing by Osoosi.

    Sova must not be used in commercial passenger or cargo transport operations conducted for compensation or hire, including but not limited to operations under 14 C.F.R. Parts 121, 125, 129, or 135.

    Sova must not be used:

    • As a substitute for required certified avionics;
    • As primary flight instrumentation;
    • As sole advisory reference in Instrument Meteorological Conditions (IMC) during beta deployments;
    • In military or governmental operations without written authorization from Osoosi.

    For purposes of these Terms, "commercial passenger or cargo transport" means any operation involving the carriage of persons or property for compensation or hire under an air carrier or commercial operator certificate.

    Use outside the authorized operating envelope constitutes unauthorized use and material breach of these Terms.

    4. HARDWARE DISCLAIMER AND INSTALLATION RESPONSIBILITY

    Sova may include or integrate with camera and audio hardware devices.

    Osoosi:

    • Does not represent that hardware is airframe-certified;
    • Makes no warranty of compatibility with specific aircraft;
    • Does not guarantee non-interference with avionics, flight controls, or aircraft systems.

    You are solely responsible for:

    • Proper installation;
    • Determining whether installation constitutes a major or minor alteration;
    • Ensuring compliance with applicable aviation regulations;
    • Ensuring no obstruction of pilot visibility or interference with controls.

    To the fullest extent permitted by law, Osoosi disclaims liability for:

    • Airframe damage;
    • Avionics interference;
    • Mechanical or electrical failure.

    5. DATA COLLECTION AND USER REPRESENTATIONS

    Sova may collect:

    • Cockpit video;
    • Cockpit audio, including ATC communications;
    • Instrument panel data via computer vision;
    • Flight metadata;
    • Interaction and diagnostic data.

    By using Sova, you consent to such collection and processing.

    You represent and warrant that:

    • Your use of Sova complies with applicable law; and
    • You will obtain any legally required consent from passengers, crew, or other occupants before recording audio or video.

    Nothing in this Section transfers Osoosi's independent legal obligations under applicable law.

    Our Privacy Policy, located at osoosi.com/privacy, is incorporated by reference into these Terms.

    6. INTELLECTUAL PROPERTY AND OUTPUT RESTRICTIONS

    All AI systems, including Artificial Pilot Awareness (APA), and all related software, hardware designs, and documentation remain the exclusive property of Osoosi.

    You may not:

    • Reverse engineer or decompile the Services.

    7. SUBSCRIPTIONS AND PAYMENT

    Certain Services require payment of fees.

    You agree to:

    • Pay all applicable fees;
    • Maintain valid payment information.

    Failure to pay may result in suspension or termination.

    Unless otherwise required by law, fees are non-refundable.

    Enterprise customers may enter separate written agreements governing pricing and liability caps.

    8. EXPORT CONTROLS

    The Services may be subject to:

    • The U.S. Export Administration Regulations (EAR);
    • Potentially the International Traffic in Arms Regulations (ITAR), depending on configuration and deployment.

    You agree not to export, re-export, or provide access to the Services in violation of U.S. export control laws.

    You represent that you are not located in a restricted jurisdiction and are not on any denied-party list.

    9. DISCLAIMER OF WARRANTIES

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

    OSOOSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

    • MERCHANTABILITY;
    • FITNESS FOR A PARTICULAR PURPOSE;
    • NON-INFRINGEMENT;
    • ACCURACY;
    • RELIABILITY;
    • CONTINUOUS OR ERROR-FREE OPERATION.

    No oral or written information creates any warranty not expressly stated.

    10. LIMITATION OF LIABILITY

    To the maximum extent permitted by law, Osoosi shall not be liable for:

    • Aircraft incidents;
    • Personal injury or death;
    • Property damage;
    • Regulatory penalties;
    • Indirect, incidental, or consequential damages.

    Total liability shall not exceed the greater of:

    1. (a) the amounts paid in the preceding 12 months; or
    2. (b) $1,000 USD.

    Enterprise agreements may provide negotiated alternatives.

    11. INDEMNIFICATION

    You agree to indemnify and hold harmless Osoosi from:

    • Third-party claims;
    • Passenger claims;
    • Regulatory actions;
    • Claims arising from flight operations;
    • Claims arising from hardware installation;
    • Regulatory violations attributable to your conduct.

    This includes reasonable attorneys' fees.

    12. FORCE MAJEURE

    Osoosi is not liable for delays or failures caused by events beyond its reasonable control, including:

    • Natural disasters;
    • Weather events;
    • Power outages;
    • Cloud service failures;
    • Acts of domestic or foreign governments;
    • Sanctions or export restrictions;
    • Telecommunications failures;
    • Acts of war or terrorism.

    13. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

    Pre-Arbitration Notice

    Before initiating arbitration, you must send written notice to:

    The parties will attempt informal resolution for 30 days.

    Binding Arbitration

    If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA):

    • Consumer users: AAA Consumer Arbitration Rules;
    • Business users: AAA Commercial Arbitration Rules.

    Arbitration shall occur in San Diego County, California, unless otherwise required by applicable law.

    Arbitration Costs

    For consumer users:

    • Osoosi will pay filing fees exceeding what would be required in California state court;
    • Each party bears its own attorneys' fees unless law provides otherwise.

    Small Claims Court Option

    Either party may bring an individual claim in small claims court if it qualifies.

    Class Action Waiver

    You agree to resolve disputes in your individual capacity only.

    You waive the right to:

    • Participate in a class action;
    • Participate in collective arbitration;
    • Act as a class representative.

    14. SEVERABILITY

    If any provision is found unenforceable, the remainder shall remain in effect.

    15. NO WAIVER

    Failure to enforce any provision does not waive future enforcement.

    16. ENTIRE AGREEMENT

    These Terms constitute the entire agreement between you and Osoosi regarding the Services and supersede prior understandings.

    Enterprise agreements may supersede where expressly stated.

    17. GOVERNING LAW

    These Terms are governed by the laws of the State of California.

    The English-language version controls in case of translation discrepancies.

    18. ELECTRONIC ACCEPTANCE

    By clicking "I Agree," creating an account, or using the Services, you provide a legally binding electronic signature.
